Legal Opinions

Legal opinions on corporate, contractual and investment matters that support informed decisions.

A legal opinion gives decision-makers a clear, reasoned answer to a specific legal question. We prepare opinions for owners, boards and investors who need to act on a firm understanding of their position.

Each opinion states the question, the documents and assumptions it relies on, the analysis and the conclusion, in a form that can be shared with partners or investors where this is agreed.

What we advise on

  • Corporate questions: capacity, authority and internal approvals
  • Contractual questions: validity, interpretation and consequences of breach
  • Investment questions: structure, rights of investors and transaction risks
  • The legal position in a potential dispute
  • Review of documents prepared by other advisers

Typical situations

  • A board needs a reasoned view before approving a transaction
  • An investor asks for an opinion on the company's position
  • The parties disagree on how a contract should be read
  • A decision depends on a legal question without an obvious answer

Our approach

A good opinion starts with a precisely defined question.

  1. Define the question

We agree the precise question and the documents to be reviewed.

  2. Review

We examine the documents and the applicable rules.

  3. Analysis

We analyse the position, including the arguments on both sides.

  4. Opinion

We deliver a written opinion with a clear conclusion and discuss it with you.

What you receive

  • A written legal opinion with a reasoned conclusion
  • A list of the documents and assumptions relied on
  • Practical recommendations based on the conclusion
  • A follow-up discussion of the opinion

Frequently asked questions

Which law can the opinion cover?

We agree the scope at the start. Where an opinion requires a lawyer qualified in a particular jurisdiction, we coordinate with local counsel.

Can the opinion be shared with third parties?

Yes, if this is agreed in advance. The terms on which third parties may rely on it are set out in the consultancy agreement.

What does an opinion not cover?

An opinion answers the agreed question and is based on the documents and facts provided. It does not replace advice on matters outside that scope.
